Some of our stockholders who hold their shares in direct registration with our transfer agent, American Stock Transfer & Trust Company (AST), have received a penalty notice from the Internal Revenue Service (IRS) relating to their 2007 tax returns. The issue arises from the IRS incorrectly reading the 1099-DIVs issued by AST and treating the entire dollar amount shown on the 1099-DIVs as dividend income when, in fact, most of it is capital gain, not dividend income. AST has alerted the IRS to this error and the IRS has advised that it is suspending sending out any additional penalty notices. If you have received a penalty notice for your 2007 tax return relating to the information reported on your 1099-DIV, please contact AST and they will send you a letter that you can submit to the IRS to resolve the matter. If you have already received a penalty notice and paid any additional tax or penalty to the IRS as a result, you are entitled to a refund.
